CHARTER
General Provisions
According to the Decree of the President of the Republic of Azerbaijan dated February 10, 2017 "On Additional Measures to Improve Management in the Spheres of Standardization, Metrology, Accreditation and Patent Laws", the "Azerbaijan Institute of Metrology" (hereinafter - the Institute) it was established by the State Committee for Standardization, Metrology and Patents of the Republic of Azerbaijan (hereinafter referred to as the Committee) for the implementation of the state policy on acquisition, protection, transmission of quantitative units from state standards and ensuring unity of measurements.
The Institute is independent in its activity and is guided by the Constitution of the Republic of Azerbaijan, International treaties to which the Republic of Azerbaijan is a party, the Law of the Republic of Azerbaijan "On Legal Persons", other laws of the Republic of Azerbaijan, decrees and orders of the President of the Republic of Azerbaijan, decrees and orders of the Cabinet of Ministers of the Republic of Azerbaijan, other normative legal acts, the decisions of the Committee, the orders of the Chairman of the Committee and this Charter.
In order to achieve the objectives set forth in this Charter, the Institute may, by written consent of the Committee, engage in entrepreneurial activities that are appropriate for these purposes, and may establish or participate in such organizations as legal entities (including legal persons) centers and offices. The Institute is a legal entity and operates in the directions defined by this Charter.
The Institute operates in interaction with state and local self-governing bodies, international and non-governmental organizations, other legal entities and individuals while exercising their rights and exercising their rights.
The Institute has its own independent balance, its disposal, bank accounts, as well as treasury accounts, seal with its name, relevant stamps, logo (s) and forms.
Full name of the public legal entity: "Azerbaijan Institute of Metrology".The legal address of the Institute: Narimanov district, E.Isagzade settlement, 7th cross street.
Areas of activity of the Institute
2.1. The Institute's activities are as follows:
2.1.1. Implementation of fundamental, applied, scientific, experimental works in the field of ensuring unity of measurements, scientific and technical activity in this field, creation and application of directed programs:
2.1.2. maintaining and coordinating the acquisition (or creation) of state-owned unit units at the expense of state budget funds;
2.1.3. Conducting work on establishing normative documents in the field of ensuring unity of measurements;
2.1.4. Carrying out metrological expertise of the requirements to the measurements, standard samples and measuring instruments specified in the project of the normative-legal acts of the Republic of Azerbaijan;
2.1.5. to participate in interstate, regional and international scientific and technical cooperation on metrology, to work in these organizations and present themselves;
2.1.6. to participate in the coordination of national standards within regional and international metrology organizations;
2.1.7. to participate in laboratories interdiction;
2.1.8. Provision of scientific and methodological assistance to entrepreneurs in metrological support, purchase and sale operations and other branches of the economy;
2.1.9. carrying out of alternative assessment and calibration of measuring instruments on the basis of interconnected with economic entities and issuance of a corresponding certificate;
2.1.10. carrying out tests to confirm the accuracy of the measuring apparatus;
2.1.11. Carrying out metrological examination of the documents submitted for the purpose of recognition of the conformity of the type of measuring means imported to the country;
2.1.12. carrying out the state register of measuring instruments and standard samples;
2.1.13. conduct spectrometric analysis to determine the composition of radionuclide content of construction materials, food and non-food products;
2.1.14. Establishment of a database to ensure unity of measurements, as well as submission of documents and information therein;
2.1.15. improvement and development of national standards base;
2.1.16. to participate in the improvement of the legal framework in the field of measurement unity;
2.1.17. to act in other areas determined by the legislation.
Rights and duties of the Institute
3.1. The Institute fulfills the following duties:
3.1.1. participates in the implementation of international agreements in which the Republic of Azerbaijan is a party in the field of obtaining, preserving and transmitting quantitative units of state-owned units;
3.1.2. Forms and develops the state standards database;
3.1.3 Providing the transmission of quantitative units from public etalon
3.1.4. Establishment of laboratories for the standards of state-owned units on areas;
3.1.5. to participate in the coordination of national standards within regional and international metrology organizations;
3.1.6. to participate in laboratories interdiction;
3.1.7. Providing scientific and methodological assistance to entrepreneurs in metrological support, purchase and sale operations and other branches of the economy;
3.1.8. improvement and development of national standards base;
3.1.9. to provide comparative inspection and calibration of measuring instruments;
3.1.10. Provide attestation of the methods of measurements;
3.1.11. carrying out state testing of measuring instruments;
3.1.12. to approve the type of measurements and to issue an appropriate document;
3.1.13. ensures the protection of the standards of state-owned units under the technical requirements and their participation in international confrontations;

3.1.15. analyzing innovations in the field of accuracy of measurements in the international arena as a result of the development of scientific and technical progress and making suggestions on improvement of state standards based on the results of the analysis;
3.1.16. participates in the preparation of state programs in the field of metrology and metrology;
3.1.17. creates standards, guidelines, recommendations and guidelines in the field of public quantitative units;
3.1.18. organizes the reception of citizens, ensures consideration of applications, proposals and complaints in the manner and timeframe established by the legislation;
3.1.19. creates a training center to ensure staff training in the area of unity of measurements, as well as takes measures to train specialists and provide additional training;
3.1.20. make suggestions and actions to improve the structure and performance;
3.1.21. to respond to received applications related to their activities, to make citizens' acceptance and to take action in accordance with the law;
3.1.22. as well as other security measures for the protection of state and commercial secrets, as well as its activities;
3.1.23. organizes the protection of the standards of the state unit and other property in balance;
3.1.24 prepare and submit to the Committee inquiries and reports on activities;
3.1.25. to carry out normative legal acts and other duties determined by the Committee;
3.1.26. to carry out other duties entrusted to the legislation.
3.2. The Institute exercises the following rights:
3.2.1. submit proposals to the Committee on improvement of the legislation of the Republic of Azerbaijan in the field of ensuring unity of measurements;
3.2.2. to provide the state and local self-government bodies, individuals and legal entities with the necessary information (documents) for the purpose of ensuring the observance of the legislation in the field of obtaining, preserving and transmitting of quantitative units of state-owned units, and providing such information (documents);
3.2.3. give the right to carry out comparative inspection and calibration activities in accordance with the legislation of the jurisdiction of metrological services of legal entities, except for the means of measuring used in the fields of state regulation of the unity of measurements;
3.2.4. involve foreign and local experts, consultants (experts), consulting companies and scientific organizations in their activities in accordance with legislation;
3.2.5. to organize scientific research work in the field of preservation of standards of the state statistical units, transmission of quantitative units from the state etalon;
3.2.6. take measures to train specialists and increase their qualifications in accordance with their activities;
3.2.7. to issue special bulletins and other publications in accordance with the legislation;
3.2.8. to conclude agreements on activity, control over their implementation;
3.2.9. to receive payment for services rendered;
3.2.10. to carry out other rights stipulated by the legislation in accordance with their activities.
Governing bodies of the Institute
General Assembly
The general meeting of the supreme governing body of the Institute (hereinafter referred to as the general meeting).
The exclusive authority of the general meeting includes:
to approve the charter, its amendments and structure;
determination of the amount of the charter capital;
identifying development trends and strategies, approving annual financial statements and business plan;
appointment and appointment of the head of the executive body, as well as the head of the structural divisions, early termination of powers and determination of his powers;
granting consent to the appointment or dismissal of economic societies and other legal entities (including legal entities) or participation in them, as well as heads of departments, branches, Institutes and Offices;
consent to the conclusion of an agreement (transaction value of more than twenty-five percent) of its net assets, as well as with persons related to the legal entity (if the transaction value is 5 percent or more of the assets);
to control the activities of the legal entity, including obtaining necessary information;
Determine staff positions of the Institute and staff salaries;
to initiate the liquidation and reorganization of a legal entity.
The Committee shall act as the founder and participant of the Institute on behalf of the Republic of Azerbaijan and exercise the powers defined in Article 4.1 of this Charter directly by the Chairman of the Committee.
Report on annual results of the Institute, including financial statements, development prospects, strategy and business plans, shall be submitted to the Committee no later than two months after the end of the financial year.
Executive body of the Institute
4.2.1. The Institute is headed by the Director General, appointed and dismissed by the Chairman of the Committee. In the absence of the General Director, the current activity of the Institute is carried out by the Deputy Director General, who is appointed and dismissed by the Chairman of the Committee.
4.2.2. Director General of the Institute:
4.2.2.1. Directs the current activity of the Institute, carries out its operative management and is fully responsible for this activity;
4.2.2.2. The publik represents the legal entity on behalf of a legal entity, representing it as a plaintiff and defendant in all state and local self-governing bodies, commercial and non-profit organizations, including courts;
4.2.2.3. conclude contracts on behalf of the legal entity within its authority, issue power of attorney, open bank accounts of any legal entity in authorized banks and issue orders on financial and economic activity;
4.2.2.4. within the framework of its authority, the employees of the Institute shall give orders, orders, instructions which are mandatory for execution and control their implementation;
4.2.2.5. Ensures timely and proper execution of the decisions made by the Committee, the orders of the Chairman of the Committee;
4.2.2.6. Complying with the requirements of the legislation, organizes accounting records of the Institute, oversees their use, signs financial and tax reports, grants orders to the Institute's property and funds, pursuant to the legislation's requirements within its authority;
4.2.2.7. Appoints and dismisses employees of the Institute (excluding the heads of the Institute's structural subdivisions appointed by the Chairman of the Committee), inspires them with encouragement and disciplinary action;
4.2.2.8. Concludes labor contracts and other contracts with employees of the Institute, organizes the payment of workers' labor and their professional level;
4.2.2.9. to make decisions within its authority and to enforce such decisions in writing;
4.2.2.10. To carry out preparation of other necessary documents and proposals on the activity of the legal entity;
4.2.2.11. Provides the Institute's clerical and archive work;
4.2.2.12. Takes necessary measures to protect the state secrets and confidentiality regime and to ensure security;
4.2.2.13. Ensures consideration of citizens' perceptions and appeals in the Institute;
4.2.2.14. The annual report on the results of the Institute, including its financial report, development prospects, strategy and business plans, shall be submitted to the Committee no later than two months after the end of the fiscal year.
4.2.2.15. Resolves issues not covered by the competence of the founder under the legislation of the Republic of Azerbaijan and this Charter.
Charter fund, sources of property formation, fundamentals of financial activity
5.1. The Charter Fund of the Institute is formed on the account of the Presidential Decree No. 1234 of February 10, 2017 "On Additional Measures to Improve Management in the Fields of Standardization, Metrology, Accreditation and Patent Protection" in accordance with paragraph 1.6 of the Property and 3122432.6 ( three million one hundred twenty-two thousand four hundred thirty two, 6) manats (456357, 38 manats, 2666075, 22 manats)
5.2. The property of the Institute is formed from Charter fund, other assets transferred in accordance with the Decree of the President of the Republic of Azerbaijan dated February 10, 2017 "On Additional Measures to Improve Management in the Fields of Standardization, Metrology, Accreditation and Patent Laws", as well as from funds allocated from the state budget, In accordance with the provisions of Section 4 of this Charter, the proceeds from the activities carried out in accordance with this Charter (including their loans, grants, technical assistance, performance of works, receipt of services, etc.).
5.3. The exercise of the right of ownership, use and disposal of property shall be exercised by the Director General of the Institute taking into account the requirements of the legislation and the powers determined by this Charter.
5.4. The publika created by the committee is not liable for the obligations of the legal entity and the loss of its activity is at the expense of the value of the property given to the legal entity.
5.5. The Fund of Entries is formed by the revenues provided for in Article 5.2 of this Charter (except for the statutory fund) and other financial sources not prohibited by law, used for the purpose of investing in activities and making payments.
5.6. The Institute is responsible for the maintenance, protection and effective use of property owned and operated by the Institution.
5.7. The procedure for exercising the right of ownership, use and disposal of the property of the Institute is defined by the legislation and this Charter.
5.8. The property of the Institute cannot be used for the purposes not provided for in this Charter.
5.9. Funds remaining at the end of the fiscal year will be spent on financing the next year's expenses.
5.10. The Institute maintains the results of its activities according to the legislation.
Informing the public about the activity of the Institute
The Institute regularly delivers information on its activities to the public.
Liquidation and reorganization of the Institute
Liquidation and reorganization of a legal entity is carried out by the Committee in accordance with the procedure established by the Civil Code of the Republic of Azerbaijan and other relevant legislative acts.
